I. Overview of the Share Transfer Agreement
On July 14, 2026, Gongqingcheng Zhongteng Venture Capital Partnership (Limited Partnership) (hereinafter referred to as "Zhongteng Investment"), a shareholder holding over 5% of the Company's shares, signed the "Share Transfer Agreement of Saiwei Times Technology Co., Ltd." with Mr. Chen Wenping, the actual controller of the Company. Zhongteng Investment intends to transfer 36,583,645 unrestricted tradable shares it holds to Mr. Chen Wenping at a price of RMB 16.75 per share. The transferred shares represent 9.00% of the Company's total share capital.
