Announcement on the Internal Transfer of Shares by the Controlling Shareholder's Concerted Actors
Shenzhen Xinglei Compressor Co., Ltd. (hereinafter referred to as "the Company") disclosed on May 6, 2026, the "Pre-disclosure Announcement on the Reduction of Shares by the Concerted Actor of the Controlling Shareholder." The concerted actor of the controlling shareholder and actual controller, Wenzhou Hongsheng Investment Partnership (Limited Partnership) (hereinafter referred to as "Hongsheng Investment"), holds 7,396,733 shares of the Company (accounting for 4.7056% of the total share capital, and 4.8471% of the total shares excluding those in the repurchase special securities account). It plans to reduce its holdings by no more than 1,849,100 shares (accounting for 1.1763% of the total share capital, and 1.2117% of the total shares excluding those in the repurchase special securities account) through centralized bidding or block trading from May 28, 2026, to August 27, 2026.
On June 2, 2026, the Company received a notice from Hongsheng Investment regarding the progress of the share reduction. On June 2, 2026, Hongsheng Investment transferred 390,500 shares of the Company to Ms. Zhong Qianhong, sister of the actual controller and chairman, Mr. Zhong Renzhi, through block trading, accounting for 0.2484% of the total share capital (0.2559% of the total shares excluding those in the repurchase special securities account). Before this transfer, Ms. Zhong Qianhong indirectly held shares of the Company through Hongsheng Investment. After this transfer, Ms. Zhong Qianhong will exit Hongsheng Investment and will no longer indirectly hold shares of the Company through Hongsheng Investment. This share transfer is an internal transfer among the concerted actors of the controlling shareholder and actual controller, does not involve a market reduction, does not trigger a tender offer, and will not change the total number and proportion of shares held by the controlling shareholder, actual controller, and their concerted actors, nor will it change the control of the Company.
