Yili Chuanling Biotechnology Co., Ltd. (hereinafter referred to as the "Company") held its first meeting of the Third Board of Directors on April 22, 2026, and reviewed and approved the "Proposal on Adjusting the Grant Price of the 2023 Restricted Stock Incentive Plan". It was agreed to adjust the grant price of restricted stocks under the Company's 2023 Restricted Stock Incentive Plan (hereinafter referred to as the "Incentive Plan") from RMB 4.4224/share to RMB 3.9798/share. The relevant matters are hereby announced as follows:
I. Relevant Approval Procedures for the Incentive Plan
(I) On April 12, 2023, the Company held the 24th meeting of the First Board of Directors, which reviewed and approved the "Proposal on the <Yili Chuanling Biotechnology Co., Ltd. 2023 Restricted Stock Incentive Plan (Draft)> and its Summary", the "Proposal on the <Yili Chuanling Biotechnology Co., Ltd. 2023 Restricted Stock Incentive Plan Implementation and Assessment Management Measures>", and the "Proposal on Authorizing the Board of Directors to Handle Matters Related to the Company's 2023 Restricted Stock Incentive Plan by the Shareholders' Meeting", among other related proposals. The independent directors of the Company issued a dissenting opinion on the Incentive Plan. On the same day, the Company held the 19th meeting of the First Supervisory Board, which reviewed and approved the "Proposal on the <Yili Chuanling Biotechnology Co., Ltd. 2023 Restricted Stock Incentive Plan (Draft)> and its Summary", the "Proposal on the <Yili Chuanling Biotechnology Co., Ltd. 2023 Restricted Stock Incentive Plan Implementation and Assessment Management Measures>", and the "Proposal on Verifying the <List of Incentive Recipients for the 2023 Restricted Stock Incentive Plan> of the Company".
(II) On April 15, 2023, the Company disclosed the "Announcement on Independent Directors Soliciting Voting Rights from All Shareholders for the Proposal Submitted for Review at the 2022 Annual Shareholders' Meeting" on the Juchao Information Network. Independent Director Ms. Cao Yali served as the solicitor, soliciting voting rights from all shareholders for the proposals to be reviewed at the 2022 annual shareholders' meeting scheduled for May 5, 2023.
(III) From April 13, 2023, to April 22, 2023, the Company publicly disclosed the names and positions of the incentive recipients of the Incentive Plan internally. Upon expiration of the public disclosure period, the Company's Supervisory Board did not receive any objections regarding the list of incentive recipients for the Incentive Plan. On April 29, 2023, the Company disclosed the "Supervisory Board's Verification Opinion and Public Disclosure Statement on the List of Incentive Recipients for the 2023 Restricted Stock Incentive Plan".
