I. Basic Information on Daily Related Transactions
(1) Overview of Daily Related Transactions
According to the actual situation of daily related transactions in 2025 and the needs of the company's business development, Shandong Haike New Source Material Technology Co., Ltd. (hereinafter referred to as "the Company" or "Haike New Source") expects to engage in transportation, leasing, and procurement transactions with related parties, including Shandong Haida Logistics Co., Ltd. (hereinafter referred to as "Haida Logistics"), Dongying Hebang Chemical Co., Ltd. (hereinafter referred to as "Hebang Chemical"), Haike Technology Innovation Service (Jiangsu) Co., Ltd. (hereinafter referred to as "Haike Technology (Jiangsu)"), and the actual controller Yang Xiaohong and other enterprises controlled by him. The total expected daily related transactions for 2026 are not to exceed RMB 615.14 million, compared to the actual amount of RMB 298.47 million in 2025. On April 22, 2026, the Company held the 25th meeting of the second board of directors, which reviewed and approved the proposal on the expected daily related transactions for 2026. Related directors Yang Xiaohong, Zhang Zaizhong, Cui Zhiqiang, and Ma Lijun abstained from voting on this proposal. The expected daily related transactions were reviewed and approved by the Company's audit committee and independent directors' special meeting before being submitted to the board for review. According to the relevant provisions of the Shenzhen Stock Exchange's GEM Listing Rules and the Company's Articles of Association, this proposal still needs to be submitted to the shareholders' meeting for review, with related shareholders required to abstain from voting.
