1. Overview of Guarantees

Sichuan Qiaoyuan Gas Co., Ltd. (hereinafter referred to as "the Company") held the 21st meeting of the 5th Board of Directors on April 15, 2026, and approved the proposal on the estimated guarantee amount for subsidiaries in 2026. The specific situation is announced as follows:

To ensure the stable development of the company's production and operations and to meet the funding needs of the company and its consolidated subsidiaries, in line with the company's development plan for 2026, the company intends to provide a total guarantee amount not exceeding 1 billion RMB (inclusive) for the financing of the following consolidated subsidiaries: Aba Wenchuan Qiaoyuan Gas Co., Ltd. (hereinafter referred to as "Aba Qiaoyuan"), Qiaoyuan Gas (Meishan) Co., Ltd. (hereinafter referred to as "Meishan Qiaoyuan"), Qiaoyuan (Jintang) Gas Co., Ltd. (hereinafter referred to as "Jintang Qiaoyuan"), and Qiaoyuan Gas (Fuzhou) Co., Ltd. (hereinafter referred to as "Fuzhou Qiaoyuan"). The guarantee amounts are as follows: 200 million RMB for Aba Qiaoyuan, 200 million RMB for Meishan Qiaoyuan, 400 million RMB for Jintang Qiaoyuan, and 200 million RMB for Fuzhou Qiaoyuan.

The above guarantee amounts can be adjusted among the subsidiaries, but when adjustments occur, for the guaranteed entities with a debt-to-asset ratio exceeding 70%, the guarantee amount can only be obtained from those entities with a debt-to-asset ratio exceeding 70%. The methods of guarantee include but are not limited to general guarantees, joint liability guarantees, mortgages, and pledges. The above guarantee amounts are valid for 12 months from the date of approval by the shareholders' meeting and can be used cyclically within the above amounts and validity period. The guarantee period and other guarantee matters shall be subject to the actual signed guarantee contracts, and the shareholders' meeting is requested to authorize the company's chairman to sign all relevant documents regarding this guarantee.

According to the "Shenzhen Stock Exchange GEM Stock Listing Rules," "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 2 - Standard Operation of GEM Listed Companies," and other laws, regulations, normative documents, and the "Company Articles of Association," the matter of providing guarantee amounts for subsidiaries needs to be submitted to the company's shareholders' meeting for deliberation.
