Industrial Securities Co., Ltd. (hereinafter referred to as "Industrial Securities") has been entrusted by the shareholders of Shandong Keyuan Pharmaceutical Co., Ltd. (hereinafter referred to as "Keyuan Pharmaceutical" or "the Company"), specifically Jinan Anfu Venture Capital Partnership (Limited Partnership) (hereinafter referred to as "the Transferor"), to organize and implement the inquiry for the transfer of shares to specific institutional investors prior to the company's initial public offering (hereinafter referred to as "this inquiry transfer").
According to the "Interim Measures for the Administration of Share Reduction by Shareholders of Listed Companies," the "Shenzhen Stock Exchange GEM Stock Listing Rules," the "Self-Regulatory Guidelines No. 18 for Listed Companies on the Shenzhen Stock Exchange - Share Reduction by Shareholders and Directors, Senior Management Personnel (Revised 2025)" (hereinafter referred to as "the Reduction Guidelines"), and the "Self-Regulatory Guidelines No. 16 for Listed Companies on the Shenzhen Stock Exchange - Inquiry and Allocation Methods for Share Transfers by Shareholders of GEM Listed Companies (Revised 2025)" (hereinafter referred to as "Guideline No. 16"), Industrial Securities conducted a qualification verification of the shareholders participating in this inquiry transfer and issued this verification opinion.
1. Entrustment for This Inquiry Transfer
Industrial Securities received the entrustment from the Transferor regarding this inquiry transfer, authorizing Industrial Securities to organize and implement the inquiry transfer.
