Grandall Law Firm (Wuhan) (hereinafter referred to as "the Firm") has been entrusted by Wuhan Huakang Century Clean Technology Co., Ltd. (hereinafter referred to as "the Company," formerly known as "Wuhan Huakang Century Medical Co., Ltd.") to serve as the dedicated legal advisor for the Company's issuance of convertible corporate bonds to unspecified targets (hereinafter referred to as "the Project" or "this Issuance"). Based on the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as "Securities Law"), the "Measures for the Administration of Convertible Corporate Bonds" (hereinafter referred to as "Administration Measures"), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 15 - Convertible Corporate Bonds" (hereinafter referred to as "Supervisory Guidelines No. 15"), and other laws, regulations, rules, and normative documents, as well as the "Prospectus for the Issuance of Convertible Corporate Bonds by Wuhan Huakang Century Medical Co., Ltd. to Unspecified Targets" (hereinafter referred to as "Prospectus"), and in accordance with the generally recognized business standards, ethical norms, and the spirit of diligence and responsibility in the legal profession, the Firm hereby issues this Legal Opinion regarding the early redemption of the Company's convertible corporate bonds (hereinafter referred to as "this Redemption").
Chapter 1: Lawyer's Statement
In order to issue this Legal Opinion, the Firm's lawyers make the following statements:
(I) The Firm and its lawyers, in accordance with the "Securities Law," the "Administrative Measures for Law Firms Engaging in Securities Legal Business," and the "Practice Rules for Law Firms Engaging in Securities Legal Business (Trial)," and based on facts that have occurred or existed prior to the issuance of this Legal Opinion, have strictly performed their statutory duties, adhered to the principles of diligence and good faith, conducted thorough verification, and guarantee that the facts identified in this Legal Opinion are true, accurate, complete, and that the conclusions expressed are legal, accurate, and do not contain any false records, misleading statements, or significant omissions, and that the Firm bears corresponding legal responsibility.
(II) The Firm's lawyers express their legal opinions based on facts that have occurred or existed prior to the issuance of this Legal Opinion and the provisions of current Chinese laws, regulations, rules, and normative documents, and these opinions are based on the Firm's lawyers' understanding of the relevant facts and interpretation of the relevant laws.
(III) In order to issue this Legal Opinion, the Firm's lawyers have reviewed the original, duplicate, or copy of the documentary materials related to the facts and legal issues involved in this Project, and have conducted necessary investigations and verifications on relevant issues.
(IV) The Company has guaranteed that it has provided the Firm's lawyers with the original written materials, duplicate materials, or oral statements, and letters of commitment necessary for the issuance of relevant documents, which are true, accurate, complete, and valid. All signatures and seals in the provided documents are genuine, and there are no omissions, falsehoods, significant omissions, or misleading aspects. If the provided materials are duplicates or copies, they are guaranteed to be consistent with the originals. For facts that are crucial to this Legal Opinion but cannot be independently verified by evidence, the Firm's lawyers have referred to or relied on certification documents issued by relevant government departments, the Company, or other relevant entities.
