Verification Opinion of Guolian Minsheng Securities on the Completion of Fundraising Projects of Wuhan Huakang Century Clean Technology Co., Ltd.
Guolian Minsheng Securities Co., Ltd. (hereinafter referred to as "Guolian Minsheng" or "the Sponsor") is the sponsor for Wuhan Huakang Century Clean Technology Co., Ltd. (hereinafter referred to as "Huakang Clean" or "the Company") for its initial public offering (IPO) in 2022 and the issuance of convertible bonds to unspecified objects in 2024. In accordance with relevant regulations, including the "Administrative Measures for Sponsorship of Securities Issuance and Listing," "Regulations on the Supervision of Fundraising by Listed Companies," "Shenzhen Stock Exchange Growth Enterprise Market Listing Rules," and "Self-Regulatory Guidelines No. 2 for Listed Companies on the Shenzhen Stock Exchange - Standardized Operations of Growth Enterprise Market Companies," the Company has completed the verification of certain fundraising projects and the permanent allocation of surplus funds to working capital. The specific circumstances of the verification are as follows:
1. Basic Situation of Fundraising
(1) Fundraising from Initial Public Offering
The fundraising from the IPO was approved by the China Securities Regulatory Commission (CSRC) under the document "Approval for the Registration of the Initial Public Offering of Stocks by Wuhan Huakang Century Medical Co., Ltd." (CSRC Permit [2021] No. 4121). The Company publicly issued 26.4 million shares of ordinary shares (A shares) at a price of RMB 39.30 per share, raising a total of RMB 1,037.52 million. After deducting issuance expenses of RMB 88.02 million, the actual net amount raised was RMB 949.50 million. The funds were received on January 25, 2022, and verified by Zhonghui Certified Public Accountants (Special General Partnership), which issued a "Verification Report" (Zhonghui Verification [2022] No. 0122) on the same day.
(2) Fundraising from Issuance of Convertible Bonds
The fundraising from the issuance of convertible bonds was approved by the CSRC under the document "Approval for the Registration of the Issuance of Convertible Bonds by Wuhan Huakang Century Medical Co., Ltd." (CSRC Permit [2024] No. 220). On December 23, 2024, the Company issued 7.5 million convertible bonds with a face value of RMB 100 each, raising a total of RMB 750 million. After deducting underwriting and sponsorship fees, accounting, legal, credit rating, and issuance fees totaling RMB 6.18 million (excluding VAT), the actual net amount raised was RMB 743.82 million.
