Guotai Junan Securities Co., Ltd. (hereinafter referred to as "Guotai Junan" or "Sponsor") as the continuing sponsor institution of Wuhan United Technology Co., Ltd. (hereinafter referred to as "United Technology" or "the Company"), in accordance with the "Administrative Measures for Securities Issuance and Listing Sponsorship Business," "Shenzhen Stock Exchange Listed Company Self-Regulation Supervision Guidelines No. 2 - Normative Operation of GEM Listed Companies," and other relevant regulations, has reviewed United Technology's "2025 Annual Internal Control Evaluation Report." The details are as follows:
I. Scope of Internal Control Evaluation
The Company determines the main entities, businesses, and matters included in the evaluation scope, as well as high-risk areas, based on a risk-oriented principle. The main entities included in the evaluation scope are: Shanghai Branch of Wuhan United Technology Co., Ltd., Linktel Technologies, Inc., LINKTEL TECHNOLOGIES PTE. LIMITED, and LINKTEL TECHNOLOGIES SDN. BHD. The main businesses and matters of these 5 entities are included in the evaluation scope. The total assets of the entities included in the evaluation scope account for 100% of the Company's consolidated financial statement assets, and the total operating income accounts for 100% of the Company's consolidated financial statement operating income.
The main businesses and matters included in the evaluation scope include: internal environment, risk assessment, control activities, information and communication, and internal supervision. The entities, businesses, matters, and high-risk areas included in the evaluation scope cover the main aspects of the Company's operational management and do not involve significant omissions.
The Company's internal control system for financial reporting is set up and executed as follows:
(I) Internal Environment
The Company's control environment reflects the attitude, understanding, and actions of management and the board of directors towards internal control and its importance. It is an atmosphere that enhances or weakens the combined effect of various policies, organizational efficiency, and various factors. The quality of the control environment directly determines whether other controls can be implemented and the effectiveness of their implementation. Based on the basic concept of standardized operation, the Company actively creates a good control environment, which is mainly reflected in the following aspects:
- Communication and Implementation of Integrity and Moral Values
Integrity and moral values are an important part of the control environment and affect the Company's important business processes and their design and operation. The Company consistently attaches importance to the creation and maintenance of this atmosphere, establishing the "Employee Handbook" and a series of internal regulations, and implementing them through corresponding reward and punishment systems and the personal example of middle and senior management in a multi-channel, all-round manner.
- Emphasis on Competence
The Company's management highly values the setting of competency levels required for specific job positions and the knowledge and abilities necessary to achieve these levels. In accordance with the needs of actual work, the Company provides various forms of ongoing training and education, establishes the "Wuhan United Technology E-learning" platform, organizes production line employee skills competitions and team leader alliance training to enhance the quality of production line employees and grassroots management teams, compiles internal R&D knowledge and courseware, encourages internal experience sharing, establishes and operates a mentorship and instructor system to accumulate internal technical resources, and organizes irregular technical and market training. Senior management and core personnel participate in external management training and introduce learning maps to assist in product development and process sequence construction, creating a learning organization to enable employees to be competent in their current job positions.
