1. The subject of this equity change is Zhejiang Huimeng Venture Capital Partnership (Limited Partnership), which holds more than 5% of the shares of Jiangsu Zeyu Intelligent Power Co., Ltd. (hereinafter referred to as "Zeyu Intelligent" or "the Company"). The method of this equity change is a reduction of shares (inquiry transfer), after which the transferor and its concerted actors hold shares accounting for 4.85% of the total share capital of the company, down from 7.48%, and 4.87% of the total share capital excluding shares in the company's repurchase account, down from 7.51% (hereinafter referred to as "this equity change"), reducing the equity below 5% of the total share capital.

2. The transferor of this inquiry transfer is Zhejiang Huimeng Venture Capital Partnership (Limited Partnership), which is the company's employee stock ownership platform and a shareholder holding more than 5% of the company's shares. The actual controller of the company, Ms. Zhang Jian, along with some directors and senior management, indirectly holds shares in the company through the aforementioned employee stock ownership platform. The shares indirectly held by the actual controller and chairman, Ms. Zhang Jian, through Zhejiang Huimeng Venture Capital Partnership (Limited Partnership) do not participate in this inquiry transfer. This equity change will not lead to a change in the controlling shareholder or actual controller of the listed company and will not have a significant impact on the company's governance structure and ongoing operations.

3. This inquiry transfer is a non-public transfer method and does not involve centralized bidding transactions, thus not triggering a tender offer. The transferee may not transfer the shares acquired through the inquiry transfer within six months after the acquisition.

The number of shares transferred by the transferor is 10,611,655 shares, accounting for 2.62% of the company's total share capital and 2.64% of the total share capital after excluding repurchased shares; the inquiry transfer price is 23.29 CNY/share, with a transaction amount of 247,145,444.95 CNY.
