Announcement on the Completion of the Board of Directors Election and Appointment of Senior Management and Securities Affairs Representative

The term of office of the 5th Board of Directors of Lianjian (Jiangsu) Technology Co., Ltd. (hereinafter referred to as the "Company") has expired. On June 25, 2026, the Company held the 10th Employee Representative Congress of the 2nd session, which elected the employee representative directors for the 6th Board of Directors. On June 26, 2026, the Company held the 3rd Extraordinary Shareholders' Meeting of 2026, which deliberated and approved the proposals for the election of the Board of Directors, and elected the non-independent and independent directors for the 6th Board of Directors, who, together with the employee representative directors, formed the 6th Board of Directors. On June 26, 2026, the Company held the First Meeting of the 6th Board of Directors, which deliberated and approved proposals for the election of the Chairman, the election of members of the specialized committees of the Board of Directors, and the appointment of senior management personnel and the Securities Affairs Representative. The specific details are hereby announced as follows:
I. Election of Employee Representative Directors
In accordance with the relevant provisions of the "Company Law," "Articles of Association," and other regulations, on June 25, 2026, the Company held the 10th Employee Representative Congress of the 2nd session. After deliberation by the attending employee representatives, it was agreed to elect Ms. Zhuo Ye as the employee representative director for the 6th Board of Directors of the Company. She will form the 6th Board of Directors together with the directors elected by the shareholders' meeting. The term of office shall commence from the date when the shareholders' meeting approves the relevant matters of the Board of Directors election and shall end on the expiration of the term of office of the 6th Board of Directors.
II. Composition of the 6th Board of Directors
(I) Members of the 6th Board of Directors
Non-independent Directors: Mr. Zhou Jianfeng (Chairman), Ms. Liu Xiaoling, Mr. Huang Haiqun
Employee Representative Director: Ms. Zhuo Ye
Independent Directors: Ms. He Yan, Mr. Qin Shuhan, Mr. Zhao Zhengwei
The 6th Board of Directors of the Company consists of 7 directors. The term of office for directors shall be calculated from the date of election by the shareholders' meeting and shall be three years.
The qualifications of the members of the 6th Board of Directors of the Company meet the requirements of relevant laws and regulations. There are no circumstances that would prevent them from serving as directors of the Company as stipulated in the "Company Law" and "Articles of Association," nor have they been confirmed by the China Securities Regulatory Commission as market entry prohibition individuals whose prohibition has not yet been lifted. The number of directors who concurrently serve as senior management personnel of the Company and the number of directors elected by employees do not exceed one-half of the total number of directors of the Company. The qualifications and independence of the independent directors have been reviewed and approved by the Shenzhen Stock Exchange. The number of independent directors is not less than one-third of the total number of directors of the Company, which meets the requirements of relevant regulations and the "Articles of Association."
