(hereinafter referred to as the "Company") held the second meeting of the fourth Board of Directors on July 16, 2026, and reviewed and approved the "Proposal on Amending the Company's Registered Capital and Articles of Association" and the "Proposal on Changing the Company's Legal Representative." The relevant matters are hereby explained as follows:
I. Amendments to the Articles of Association and Increase of Registered Capital
To further improve the company's governance structure and meet the needs of the company's business development, in accordance with the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China," the "Guiding Opinions on Listed Company Articles of Association," and other laws, regulations, and normative documents, the Company proposes to amend the following clauses in the "Articles of Association of Yingkou Fengguang New Materials Co., Ltd.":
