To the Shareholders of Shanghai Yachuang Electronics Group Co., Ltd.:
We have reviewed the accompanying pro forma consolidated financial statements of Shanghai Yachuang Electronics Group Co., Ltd. ("the Company"), which comprise the pro forma consolidated balance sheets as of December 31, 2025 and December 31, 2024, the pro forma consolidated income statements for the years 2025 and 2024, and the notes to the pro forma consolidated financial statements. The preparation of these pro forma consolidated financial statements is the responsibility of the Company's management. Our responsibility is to issue a review report on these statements based on our review.
We conducted our review in accordance with the "Chinese Certified Public Accountant Review Standard No. 2101 — Review of Financial Statements." This standard requires us to plan and perform the review to obtain limited assurance as to whether the financial statements are free of material misstatement. A review is limited primarily to inquiries of company personnel and analytical procedures applied to financial data, providing less assurance than an audit. We have not performed an audit and, accordingly, do not express an audit opinion.
Based on our review, nothing has come to our attention that causes us to believe that the pro forma consolidated financial statements are not prepared, in all material respects, in accordance with the basis of preparation described in Note III to the pro forma consolidated financial statements.
We draw the attention of users of the pro forma consolidated financial statements to the description of the basis of preparation in Note III. The management of Shanghai Yachuang Electronics Group Co., Ltd. prepared these statements for the purpose of the listed company's proposed issuance of shares and cash payment for asset acquisitions and the raising of supporting funds. Consequently, these statements may not be suitable for other purposes. This paragraph does not affect our published review conclusion.
This report is intended solely for the use of Shanghai Yachuang Electronics Group Co., Ltd. in submitting documents to the Shenzhen Stock Exchange for the purpose of issuing shares and paying cash to acquire assets and raising supporting funds, and should not be used by any other party.
