Changjiang Securities Underwriting and Sponsorship Co., Ltd. (hereinafter referred to as "the Sponsor" or "Changjiang Securities") has been engaged by Jinpu Landscape Architecture Co., Ltd. (hereinafter referred to as "the Issuer," "Jinpu Landscape," or "the Company") as the sponsor for Jinpu Landscape's private placement of A shares (hereinafter referred to as "this Offering"), and hereby issues this listing sponsorship prospectus for the Offering.
The Sponsor and its sponsored representatives have, in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for Securities Issuance and Underwriting by Sponsors" (hereinafter referred to as the "Sponsorship Measures"), the "Administrative Measures for Securities Issuance Registration of Listed Companies" (hereinafter referred to as the "Registration Measures"), the "Shenzhen Stock Exchange GEM Stock Listing Rules" (hereinafter referred to as the "Listing Rules"), and the "Shenzhen Stock Exchange Stock Issuance and Listing Review Business Guidelines No. 2 - Content and Format of Listing Sponsorship Prospectus," and other relevant laws, administrative regulations, and the regulations of the China Securities Regulatory Commission (hereinafter referred to as the "CSRC") and the Shenzhen Stock Exchange (hereinafter referred to as the "SZSE"), acted in good faith, diligently, and conscientiously. Based on due diligence and prudent review, and in strict accordance with legally established business rules and industry standards, this listing sponsorship prospectus has been issued, guaranteeing that the information provided is true, accurate, and complete.
