Statement
Changjiang Financing Services Co., Ltd. (hereinafter "the Sponsor" or "Changjiang Financing") has been engaged by Jinpu Landscape Architecture Co., Ltd. (hereinafter "the Issuer," "Jinpu Landscape," or "the Company") to act as the sponsor for its issuance of A-shares to specific targets (hereinafter "this Issuance") and to issue this issuance sponsorship letter.
The Sponsor and its representatives have acted in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for Securities Issuance and Listing Sponsorship Business, the Administrative Measures for Registration of Securities Issuance by Listed Companies, the Rules Governing the Listing of Stocks on the ChiNext Market of the Shenzhen Stock Exchange, and the Guidelines for Information Disclosure and Format of Companies Issuing Securities No. 27—Issuance Sponsorship Letter and Issuance Sponsorship Work Report. We have conducted due diligence and prudent verification, and we guarantee the truthfulness, accuracy, and completeness of the documents issued.
Unless otherwise specified, the abbreviations and terms used in this sponsorship letter are consistent with those in the Prospectus for the Issuance of A-Shares to Specific Targets by Jinpu Landscape Architecture Co., Ltd.
I. Basic Information on This Securities Issuance
(I) Name of the Sponsor
Changjiang Financing Services Co., Ltd.
(II) Sponsor Representatives Specifically Responsible for the Recommendation
In accordance with the Administrative Measures for Securities Issuance and Listing Sponsorship Business, the Sponsor has issued a Special Authorization Letter for Sponsor Representatives (Attachment), authorizing Zhang Shaoliang and Du Xiaoqi to serve as sponsor representatives for the Jinpu Landscape A-share issuance and listing project, responsible for due diligence and continuous supervision.
- Professional Qualifications of Zhang Shaoliang
Zhang Shaoliang: Deputy General Manager of Changjiang Financing Services Co., Ltd., Sponsor Representative. He possesses the professional capability to organize and implement sponsorship projects, has over 36 months of experience in sponsorship-related business within the last 5 years, has been continuously engaged in sponsorship-related business for the last 12 months, and has not been subject to major disciplinary actions by self-regulatory organizations such as stock exchanges or administrative penalties/major regulatory measures by the CSRC in the last 3 years. He has hosted or participated in projects including the initial public offering of Jinpu Landscape, the issuance of convertible corporate bonds to non-specific targets by Jinpu Landscape, the initial public offering of China Ruilin Engineering Technology Co., Ltd., and the non-public offering of Songdu Property Group Co., Ltd. He is currently participating in the Jinpu Landscape A-share issuance to specific targets project.
- Professional Qualifications of Du Xiaoqi
Du Xiaoqi: Senior Manager of Changjiang Financing Services Co., Ltd., Sponsor Representative. He possesses the professional capability to organize and implement sponsorship projects, has over 36 months of experience in sponsorship-related business within the last 5 years, has been continuously engaged in sponsorship-related business for the last 12 months, and has not been subject to major disciplinary actions by self-regulatory organizations such as stock exchanges or administrative penalties/major regulatory measures by the CSRC in the last 3 years. He has hosted or participated in projects including the refinancing of Wuhan Raycus Fiber Laser Technologies Co., Ltd., the initial public offering of Shenzhen Heda Zhongyuantong Power Technology Co., Ltd., the initial public offering and main board listing of China Ruilin Engineering Technology Co., Ltd., and the issuance of convertible corporate bonds to non-specific targets by Jinpu Landscape. He is currently participating in the Jinpu Landscape A-share issuance to specific targets project.
(III) Project Coordinator and Other Members of the Project Team
There is no project coordinator for this issuance.
Other members of the project team include Miao Jian, Ji Guoran, Chen Yue, Li Borui, Bai Jingyu, and Yu Chenjie.
