I. Basic Situation of Connected Transactions
(I) The Company convened the 27th meeting of the Fifth Board of Directors on September 29, 2025, and the 4th Extraordinary General Meeting of Shareholders in 2025 on December 9, 2025. On September 28, 2025, the Company signed a conditional share subscription agreement with Nanjing Lisen Enterprise Management Center (Limited Partnership) (hereinafter referred to as "Nanjing Lisen"). The Company plans to issue shares to Nanjing Lisen through a targeted issuance of A shares. The number of A shares to be issued to Nanjing Lisen shall not exceed 18,000,000 shares (inclusive), and the total fundraising amount shall not exceed RMB 128,520,000 (inclusive).
