I. Overview of the Agreement Transfer
On May 28, 2026, Nanjing Xiangyuan Zhihong Venture Capital Partnership (Limited Partnership) (hereinafter referred to as "Xiangyuan Zhihong"), a person acting in concert with Mr. Xu Jiang, the actual controller of Beijing Yakang Wanwei Information Technology Co., Ltd. (hereinafter referred to as the "Company"), signed the "Share Transfer Agreement (I)" and the "Share Transfer Agreement (II)" respectively with Fude Property Insurance Co., Ltd. (hereinafter referred to as "Fude Property Insurance") and Shenzhen Fude Technology Co., Ltd. (hereinafter referred to as "Fude Technology"). Xiangyuan Zhihong transferred 4,340,000 shares of the Company it held to Fude Property Insurance and Fude Technology through an agreement transfer. II. Basic Situation of the Supplementary Agreement
(I) Recently, the Company received a notice from Xiangyuan Zhihong, informing it that Xiangyuan Zhihong signed the "Supplementary Agreement (I) to the Share Transfer Agreement" with Fude Property Insurance Co., Ltd. (Fude Property Insurance Co., Ltd. - Self-owned Funds 1) and Life Insurance Asset Management Co., Ltd. (hereinafter referred to as "Life Insurance") on July 3, 2026. The main contents are as follows:
Transferor (hereinafter referred to as Party A): Nanjing Xiangyuan Zhihong Venture Capital Partnership (Limited Partnership)
Transferee (hereinafter referred to as Party B): Fude Property Insurance Co., Ltd. (Fude Property Insurance Co., Ltd. - Self-owned Funds 1)
Party C: Life Insurance Asset Management Co., Ltd.
Whereas: 1. Party A and Party B signed the "Share Transfer Agreement" (hereinafter referred to as the "Original Agreement") on May 28, 2026, agreeing that Party A would transfer 4.34 million shares of Yakang Shares (Stock Code: 301085) to Party B.
- Party B confirms that the actual transferee and transfer registration entity of the target shares is Fude Property Insurance Co., Ltd. - Self-owned Funds 1.
