Announcement on the Election of the Board of Directors

Beijing Biosystems Biotechnology Co., Ltd. (hereinafter referred to as the "Company")'s second board of directors is nearing the end of its term. In accordance with the "Company Law," the "Shenzhen Stock Exchange GEM Stock Listing Rules," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 2 - Normative Operation of GEM Listed Companies," and other laws, regulations, normative documents, and the "Articles of Association," the Company will hold elections for a new board of directors in accordance with legal procedures.
The Company held the 28th meeting of the second board of directors on June 29, 2026, and reviewed and passed the "Proposal on the Election of the Board of Directors and Nomination of Candidates for Non-Independent Directors of the Third Board of Directors" and the "Proposal on the Election of the Board of Directors and Nomination of Candidates for Independent Directors of the Third Board of Directors." These proposals will be submitted to the Company's general meeting of shareholders for review.
According to the "Articles of Association," the Company's third board of directors will be composed of 7 directors, including 4 non-independent directors (including 1 employee representative director elected by the Company's employee representative assembly) and 3 independent directors. The Company's controlling shareholder, Mr. Chen Yiding, has nominated Mr. Chen Yiding, Mr. Miao Jingyun, and Ms. Li Yang as candidates for non-independent directors of the third board of directors; the Company's board of directors has nominated Ms. ZHAO PEIYI, Mr. Cui Yuxuan, and Ms. Wu Fengting as candidates for independent directors of the third board of directors. The qualifications of these candidates have been reviewed and approved by the Company's Nomination Committee. The resumes of the above candidates are detailed in the appendix.
The number of directors on the third board of directors who also serve as senior management personnel of the Company, and the number of directors who are employee representatives, shall not exceed one-half of the total number of directors of the Company. The number of independent directors shall not be less than one-third of the total number of directors of the Company. Among the three independent director candidates, Ms. ZHAO PEIYI is a finance professional with qualifications as a Certified Public Accountant in Australia. The three candidates have pledged to participate in the most recent independent director training and obtain relevant training certificates recognized by the stock exchange. In accordance with relevant regulations, the qualifications and independence of the independent director candidates need to be filed with the Shenzhen Stock Exchange for review and no objection before they can be submitted, along with the other 3 non-independent director candidates, to the Company's second extraordinary general meeting of shareholders in 2026 for review, and will be voted on using the cumulative voting system.
The above director candidates, after being approved by the general meeting of shareholders, along with 1 employee representative director elected by the Company's employee representative assembly, will jointly form the third board of directors of the Company, with a term of three years from the date of approval by the general meeting of shareholders.
To ensure the normal operation of the Company's board of directors, before the new board of directors takes office, the directors of the second board of directors will continue to faithfully and diligently perform their duties and responsibilities as directors in accordance with laws, regulations, normative documents, and the "Articles of Association."
