CITIC Securities Co., Ltd. (hereinafter referred to as "CITIC Securities" or "Sponsor") has accepted the engagement of Jiangsu Sino-High New Material Co., Ltd. (hereinafter referred to as "Sino-High New Material," "Issuer," or "Company") to act as the sponsor for its 2026 annual issuance of A-shares to specific targets.
CITIC Securities and its designated sponsor representatives have acted in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for Securities Issuance and Listing Sponsorship Business, the Administrative Measures for Securities Issuance and Registration of Listed Companies, the Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange, and the Implementation Rules for Securities Issuance and Underwriting of Listed Companies on the Shenzhen Stock Exchange, as well as other relevant laws, administrative regulations, and provisions of the China Securities Regulatory Commission and the Shenzhen Stock Exchange. Unless otherwise specified in this Listing Sponsorship Letter, the terms used herein have the same meanings as those defined in the "Jiangsu Sino-High New Material Co., Ltd. 2026 Annual Issuance of A-Shares to Specific Targets Prospectus (Declaration Draft)."
