This legal opinion is issued by Shanghai Jintiancheng Law Firm (hereinafter referred to as "this Firm") regarding Jiangsu Xinhang New Materials Co., Ltd. (hereinafter referred to as "Xinhang New Materials" or "the Company") in relation to the adjustments to the number of rights and grant price under the 2022 Restricted Stock Incentive Plan (hereinafter referred to as "this Incentive Plan"), the achievement of vesting conditions for the third vesting period of the initial grant, and the cancellation of certain restricted stocks.
