The Company's controlling shareholder, actual controller Mr. Wu Qiyuan, and related shareholders Mr. Cong Bo, and Ms. Shi Chenning, and the transferee Hubei Culture and Tourism Group Co., Ltd. (hereinafter referred to as "Hubei Culture and Tourism") signed the "Termination Agreement" on July 1, 2026. All parties have unanimously agreed to terminate all transaction documents related to the change of control, and the matters of share transfer agreement, voting rights waiver arrangement, partial tender offer, and company control change planning are hereby terminated and will not be implemented.
