Kaile Environmental Technology (Shanghai) Co., Ltd. (hereinafter referred to as "the Company") expects that its controlling subsidiary, Henan Yuzhi Kaile Intelligent Technology Co., Ltd. (hereinafter referred to as "Yuzhi Kaile"), will engage in daily related transactions with the Company's related party, Henan Yujian Shuzhi Technology Co., Ltd. (hereinafter referred to as "Yujian Shuzhi"), totaling no more than RMB 30 million in 2026 due to operational needs. The Company convened the 14th meeting of the 4th Board of Directors on June 1, 2026, where the proposal regarding the expected daily related transactions for 2026 was approved with 4 votes in favor, 0 against, and 0 abstentions. The related director, Wen Xupei, abstained from voting. This proposal was also approved by a special meeting of the independent directors, and the daily related transactions fall within the approval authority of the Board of Directors, thus not requiring submission to the shareholders' meeting.
