Dear shareholders and shareholder representatives:
As an independent director of Shandong Kaisheng New Materials Co., Ltd. (hereinafter referred to as "the Company") during my term, I strictly adhered to the provisions and requirements of the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Management Measures for Independent Directors of Listed Companies, and other relevant laws and regulations, as well as the Company’s Articles of Association and the Independent Director Work System. I diligently fulfilled my responsibilities, effectively played the role of an independent director, and safeguarded the interests of all shareholders, especially minority shareholders. I hereby report on my performance of independent director duties for the year 2025 (ending June 30, 2025):
1. Basic Information
(1) Work Experience, Professional Background, and Concurrent Positions
I, Zhu Qingbin, a Chinese national, was born in March 1965. I hold a master's degree and am a senior accountant, certified public accountant, registered asset appraiser, and registered tax agent. I am a senior member of the Chinese Institute of Certified Public Accountants. Since December 2013, I have served as the managing partner of a special general partnership accounting firm and the head of its Shandong and Qingdao branches. From February 2020 to June 2025, I served as the independent director of the Company. I also hold positions as an executive director of the Shandong Institute of Certified Public Accountants, chairman of the Professional Technical Guidance Committee of the Shandong Institute of Certified Public Accountants, independent director of Shandong Luyang Energy-saving Materials Co., Ltd., independent director of Shandong Zhaochuang Information Co., Ltd., and independent director of Shandong Xintong Electronics Co., Ltd. (resigned on May 30, 2025). I meet the qualifications for independent directors as stipulated by relevant laws, regulations, and normative documents, and my appointment has been filed and reviewed by the Shenzhen Stock Exchange.
(2) Independence Statement
In 2025, during my tenure as an independent director, I met the independence requirements stipulated in Article 6 of the Management Measures for Independent Directors of Listed Companies, and there were no circumstances affecting my independence.
2. Performance Report for 2025
During the reporting period, I diligently attended the board meetings of the Company, carefully reviewed the matters discussed by the board and related materials, prudently exercised my voting rights in accordance with the law, and effectively fulfilled my responsibilities as an independent director, contributing positively to the board's scientific decision-making and the Company's healthy development.
(1) Attendance at Board and Shareholder Meetings
In 2025, I was required to attend 5 board meetings as an independent director and attended all 5 meetings without any instances of failing to attend consecutively or delegating attendance to other independent directors. I attended 1 shareholder meeting. I did not propose to convene any board meetings; after careful review of all board proposals and other matters during my term in 2025, I voted in favor of all proposals without raising any objections.
