Audit Opinion on Changzhou Jianxin Duba Smart Home Co., Ltd.'s Use of Raised Funds for Smart Furniture Expansion Project
China Securities Co., Ltd. (hereinafter referred to as "China Securities" or "Sponsor") is the sponsor of the initial public offering of shares of Changzhou Jianxin Duba Smart Home Co., Ltd. (hereinafter referred to as "Jianxin Home" or "the Company"). In accordance with the "Administrative Measures for Securities Issuance and Listing Sponsorship Business," the "Shenzhen Stock Exchange GEM Stock Listing Rules," and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 13 - Sponsorship Business," etc., we have audited the use of a portion of the raised funds by Jianxin Home to implement the smart furniture expansion project and hereby express our sponsorship opinion:
I. Basic Situation of Raised Funds
Upon approval by the China Securities Regulatory Commission's "Approval on the Initial Public Offering of Shares of Changzhou Jianxin Duba Smart Home Co., Ltd." (Zhengjian Xu Ke [2021] No. 2591) and with the consent of the Shenzhen Stock Exchange, the Company publicly issued 20 million shares of RMB common stock (A shares) at an issue price of RMB 72.69 per share, raising a total of RMB 145,380.00 million. After deducting underwriting and sponsorship fees of RMB 7,557.26 million, the raised funds amounted to RMB 137,822.74 million, which was deposited into the Company's special account for raised funds by the lead underwriter, China Securities Co., Ltd., on September 3, 2021. After further deducting other external expenses directly related to the issuance of equity securities, such as legal fees, audit and verification fees, information disclosure fees for this issuance, and issuance fees, totaling RMB 2,562.11 million, the net proceeds from this issuance amounted to RMB 135,260.63 million. The aforementioned raised funds have been audited by Tianjian Certified Public Accountants (Special General Partnership), who issued the "Capital Verification Report" (Tianjian Yan [2021] No. 15-6) on September 3, 2021.
The Company has established special accounts for the raised funds and signed a "Tripartite Supervision Agreement for Raised Funds" with the relevant banks and the sponsor.
