Guomai Cultural Media Co., Ltd. Independent Director's Performance Report
As an independent director of Guomai Cultural Media Co., Ltd. (hereinafter referred to as "Guomai Cultural" or "the Company"), I, Chen Bi, have faithfully fulfilled my duties in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Shenzhen Stock Exchange GEM Listing Rules, the Management Measures for Independent Directors of Listed Companies, and the Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 2 - Standardized Operation of GEM Listed Companies, as well as the Company's Articles of Association and the Independent Director Work System. I have diligently reviewed various proposals, actively attended relevant meetings, participated objectively and responsibly in company decision-making, fully exercised the independent role of an independent director, and maintained the legitimate rights and interests of the Company and all shareholders, especially minority shareholders, while promoting and maintaining the standardized and effective operation of the board of directors. I. Basic Information of Independent Director
(1) Personal Work Experience, Professional Background, and Concurrent Positions
Ms. Chen Bi, independent director, born in May 1976, Chinese nationality, without permanent residency abroad. She holds a doctoral degree, is an associate professor, and a member of the Communist Party of China. Since 2001, she has been teaching at the Criminal Justice School of China University of Political Science and Law, focusing on crime and evidence. She has published several legal monographs in China, such as "Who Defends the Lawyer" and "Echoes of Justice." Since November 2023, she has served as an independent director of Guomai Cultural; since June 2024, she has served as an independent director of New Hope Dairy Co., Ltd.
(2) Independence Statement
As an independent director of the Company, I do not hold any position other than that of independent director, and there are no relationships with the Company or its major shareholders that could hinder my independent and objective judgment. I have not received any undisclosed additional benefits from the Company or its major shareholders or related parties. My other concurrent positions do not relate to the Company, and there are no circumstances affecting the independence of the listed company or the independent director.

During the reporting period, I attended 3 board meetings and 2 shareholder meetings. With a prudent and objective approach, I diligently reviewed meeting proposals and other relevant materials, actively participated in discussions, maximized the advantages of my professional knowledge and work experience, and provided reasonable opinions and suggestions, thereby enhancing the objectivity and scientific nature of the board's decision-making and effectively safeguarding the interests of the Company and all shareholders.
