Guomai Culture Media Co., Ltd. (hereinafter referred to as the "Company") held the 15th Meeting of the Third Board of Directors and the 9th Meeting of the Third Board of Directors' Compensation and Assessment Committee on March 30, 2026, which reviewed and approved the "Proposal on Cancelling Partially Granted and Unvested Restricted Shares under the 2024 Restricted Share Incentive Plan." The relevant matters are hereby explained as follows:
I. Decision-making Procedures and Information Disclosure for the Company's 2024 Restricted Share Incentive Plan
- On April 8, 2024, the Company held the 3rd Meeting of the Third Board of Directors, which reviewed and approved the "Proposal on the 'Guomai Culture Media Co., Ltd. 2024 Restricted Share Incentive Plan (Draft)' and its Summary," the "Proposal on the 'Guomai Culture Media Co., Ltd. 2024 Restricted Share Incentive Plan Implementation and Assessment Management Measures'," and the "Proposal Requesting the Shareholders' Meeting to Authorize the Board of Directors to Handle Matters Related to the 2024 Restricted Share Incentive Plan," among other proposals. On the same day, the 3rd Meeting of the Third Supervisory Board was held, which reviewed and approved the "Proposal on the 'Guomai Culture Media Co., Ltd. 2024 Restricted Share Incentive Plan (Draft)' and its Summary," the "Proposal on the 'Guomai Culture Media Co., Ltd. 2024 Restricted Share Incentive Plan Implementation and Assessment Management Measures'," and the "Proposal on Verifying the List of Grantees for the Guomai Culture Media Co., Ltd. 2024 Restricted Share Incentive Plan," among other proposals.
