(hereinafter referred to as the "Company") recently received the "Decision on Ordering Correction and Issuing Warning Letters to Yao Hao and Others" (Administrative Supervision Measure Decision Letter (2026) No. 132) (hereinafter referred to as the "Administrative Supervision Measure Decision Letter") issued by the Shenzhen Regulatory Bureau of the China Securities Regulatory Commission (hereinafter referred to as the "Shenzhen CSRC"), and the "Supervisory Letter to Shenzhen Micro-Display Optoelectronics Co., Ltd. and Related Parties" (GEM Supervisory Letter (2026) No. 81) (hereinafter referred to as the "Supervisory Letter") issued by the Shenzhen Stock Exchange. Shenzhen Micro-Display Optoelectronics Co., Ltd., Yao Hao, Zhou Xuan:
Upon investigation, Shenzhen Micro-Display Optoelectronics Co., Ltd. failed to fully disclose related party transactions with Shenzhen Junda Optoelectronics Co., Ltd. in its annual reports for 2021 to 2023, made low-level errors in information disclosure in its 2024 annual report, had irregular insider information management, errors in some meeting minutes, irregular revenue accounting, and inaccurate provision for inventory price declines.
