Statement
The lawyers of this firm hereby make the following statement regarding the issuance of this legal opinion:
(1) The lawyers of this firm express their legal opinions based on facts that have occurred or existed prior to the issuance of this legal opinion, and in accordance with the provisions of current Chinese laws, administrative regulations, normative documents, and relevant documents from the China Securities Regulatory Commission and the Shenzhen Stock Exchange.
(2) In order to issue this legal opinion, the lawyers of this firm have, in accordance with the provisions of relevant laws, administrative regulations, normative documents, and the requirements of the firm's business rules, prudently and with due diligence, investigated and verified all documents, materials, and facts related to the issuance of this legal opinion.
(3) For reports, opinions, documents, and other written materials obtained directly from national authorities, organizations with public affairs management functions, accounting firms, asset appraisal firms, and other public institutions, the lawyers of this firm have fulfilled their relevant obligations and used the aforementioned documents as the basis for issuing the legal opinion.
(4) The Company has provided this firm with all the true, accurate, and complete original written materials, duplicate materials, or copies that the lawyers of this firm deem necessary for issuing the legal opinion. All facts and documents that could affect this legal opinion have been disclosed to this firm without any concealment, falsehood, or misrepresentation. The Company has guaranteed that the aforementioned documents and materials are true, accurate, and complete, that all signatures and seals on the documents are authentic, and that all duplicate materials and copies are consistent with the original materials.
(5) For facts that are crucial to this legal opinion but cannot be independently verified by evidence, the lawyers of this firm have relied on documentary evidence, testimony, or copies of documents issued or provided by relevant government departments, the Company, other relevant entities, or relevant individuals to issue the legal opinion.
(6) This firm does not express opinions based on any laws outside the jurisdiction of the People's Republic of China. This legal opinion only expresses opinions on the relevant laws and regulations regarding the identification of the actual controller of the Company in this instance, and does not express opinions on non-legal professional matters such as financial audits, asset appraisals, and capital verification. The citation of certain professional data and conclusions in this legal opinion does not imply explicit or implicit endorsement of the truthfulness and accuracy of such data and conclusions, as this firm does not possess the appropriate qualifications to verify and evaluate the content of such documents.
(7) This legal opinion is for the sole purpose of identifying the actual controller of the Company in this instance and may not be used for any other purpose without the prior written consent of this firm.

MaiPu Medical/Listed Company/Company: Refers to Guangzhou MaiPu Medical Science and Technology Co., Ltd.
"Concerted Action Agreement": Refers to the "Concerted Action Agreement" signed by Mr. Yuan Yuyu and Mr. Xu Tao on May 31, 2020, and the "Supplementary Agreement to the Concerted Action Agreement" signed on October 26, 2020.
"Securities Law": Refers to the "Securities Law of the People's Republic of China".
"Company Law": Refers to the "Company Law of the People's Republic of China".
"Civil Code": Refers to the "Civil Code of the People's Republic of China".
"Acquisition Measures": Refers to the "Measures for the Administration of the Acquisition of Listed Companies".
"Listing Rules": Refers to the "Shenzhen Stock Exchange ChiNext Market Stock Listing Rules".
China Securities Regulatory Commission: Refers to the China Securities Regulatory Commission.
This Firm or its Lawyers: Refers to Beijing Zhong Lun (Guangzhou) Law Firm and its handling lawyers.
