I. Basic Situation of Current Control Change On March 30, 2026, Zhejiang Taifeng Pump Industry Co., Ltd. (hereinafter referred to as "the listed company" or "the Company"), its actual controllers Mr. Chen Yiyuan, Ms. Lin Hui, and their concerted party Wenzhou Dijiue Electronic Technology Co., Ltd. (hereinafter referred to as "Dijiue Electronic") jointly signed the "Control Acquisition Agreement of Zhejiang Taifeng Pump Industry Co., Ltd." (hereinafter referred to as the "Control Acquisition Agreement") with Zhyuanxing (Shanghai) Enterprise Management Partnership (Limited Partnership) (hereinafter referred to as "Zhyuanxing"). The agreement stipulates that Mr. Chen Yiyuan and Ms. Lin Hui intend to transfer 3,988,506 shares and 1,000,000 shares of the Company (accounting for 4.18% and 1.05% of the total share capital of the Company, respectively) to Zhyuanxing through an agreement transfer. Mr. Chen Yiyuan and Ms. Lin Hui intend to transfer 100% of the equity of Dijiue Electronic to Zhyuanxing through an equity transfer. After the transfer, Zhyuanxing will indirectly hold 18,000,000 shares of the Company (accounting for 18.88% of the total share capital of the Company) through Dijiue Electronic.
