1. Introduction
Beijing Global Law Firm (hereinafter referred to as "the Firm") has been entrusted by Sanhe Tongfei Refrigeration Co., Ltd. (hereinafter referred to as "the Issuer" or "the Company") to act as the special legal advisor for the Issuer's stock issuance to specific objects (hereinafter referred to as "this Issuance"). The Firm has issued the "Legal Opinion on Sanhe Tongfei Refrigeration Co., Ltd.'s Stock Issuance to Specific Objects" (hereinafter referred to as "the Legal Opinion") and the "Lawyer's Work Report on Sanhe Tongfei Refrigeration Co., Ltd.'s Stock Issuance" (hereinafter referred to as "the Lawyer's Work Report"). In light of the Shenzhen Stock Exchange's Listing Review Center issuing the "Inquiry Letter on Sanhe Tongfei Refrigeration Co., Ltd.'s Application for Stock Issuance to Specific Objects" (Inquiry Letter [2026] No. 020037) (hereinafter referred to as "the Inquiry Letter"), the Firm's lawyers conducted further verification regarding the matters related to the Inquiry Letter and made corresponding modifications, supplements, or further explanations to the contents disclosed in the Lawyer's Work Report and the Legal Opinion, issuing this supplementary legal opinion. This supplementary legal opinion serves as a supplement to the Lawyer's Work Report and the Legal Opinion and constitutes an inseparable part of them. The contents of the Lawyer's Work Report and the Legal Opinion that are not modified by this supplementary legal opinion remain valid. The lawyer's declarations in the Lawyer's Work Report and the Legal Opinion also apply to this supplementary legal opinion. Unless otherwise specified, the relevant definitions in this supplementary legal opinion are consistent with those in the Lawyer's Work Report and the Legal Opinion.
2. Legal Opinion
The Firm's lawyers agree to submit this supplementary legal opinion as a necessary statutory document for the Issuer's stock issuance, along with other application materials, and shall bear corresponding legal responsibilities for the legal opinions issued by the Firm. The Firm and the handling lawyers have strictly fulfilled their statutory duties in accordance with the "Securities Law," "Company Law," "Administrative Measures," "Listing Rules," "Management Measures for Law Firms Engaging in Securities Legal Business," "Trial Implementation Rules for Law Firms' Securities Legal Business," and other regulations, as well as the facts that occurred or existed before the issuance date of this supplementary legal opinion, adhering to the principles of diligence and good faith, conducting sufficient verification, ensuring that the facts determined in this supplementary legal opinion are true, accurate, and complete, and that the conclusive opinions expressed are legal and accurate, without any false records, misleading statements, or significant omissions, and shall bear corresponding legal responsibilities. This supplementary legal opinion is only for the Issuer's purpose of this issuance and shall not be used for any other purpose.
