Announcement on Change of Acting Executive Partner of Person Acting in Concert with Actual Controller and Signing of Concerted Action Agreement

Ningbo Hengshuai Co., Ltd. (hereinafter referred to as the "Company" or "Hengshuai Shares") received a notice from Ningbo Yumi Equity Investment Management Co., Ltd. (Limited Partnership) (hereinafter referred to as "Ningbo Yumi"), a party acting in concert with the actual controller, that the acting executive partner of Ningbo Yumi has been changed from Mr. Xu Ningning to Ms. Zhang Lijing. The aforementioned matter has completed the industrial and commercial change registration procedures and obtained a new "Business License." At the same time, to ensure the stability of the Company's control, Ningbo Yumi and the actual controller, Mr. Xu Ningning, have signed a "Concerted Action Agreement." Mr. Xu Ningning will continue to maintain the relationship of acting in concert with Ningbo Yumi. The specific details are hereby announced as follows:

II. Overview of the Change
The original acting executive partner of Ningbo Yumi Equity Investment Management Co., Ltd. (Limited Partnership) was Mr. Xu Ningning, who is the actual controller of the Company. At the time of the Company's initial public offering and listing, he acted as the acting executive partner of Ningbo Yumi.
As the general partner and acting executive partner, he exercised the voting rights of the shares held by Ningbo Yumi in the Company, and the two were parties acting in concert. During the period when the two maintained a concerted action relationship, they consistently held the same opinion on major matters of the Company and strictly fulfilled their commitments, without abusing their controlling position.
Due to limited personal energy and other reasons, Mr. Xu Ningning has resigned from his position as the acting executive partner of Ningbo Yumi. With the unanimous consent of all partners, Ms. Zhang Lijing has been appointed as the acting executive partner of Ningbo Yumi. After this change, Mr. Xu Ningning will be a limited partner, and Ms. Zhang Lijing will be the general partner and acting executive partner. The other capital contribution shares remain unchanged. Ms. Zhang Lijing has no affiliation with Mr. Xu Ningning.
