Shenzhen Boshi Technology Co., Ltd. (hereinafter referred to as the "Company") held its Ninth Meeting of the Third Board of Directors on July 27, 2026, and deliberated and passed the "Proposal on the Failure to Meet the Unlocking Conditions for the First Tranche of the 2025 Employee Stock Ownership Plan." Due to the failure to meet the unlocking conditions for the first tranche of the 2025 Employee Stock Ownership Plan (hereinafter referred to as the "Employee Stock Ownership Plan"), the Board of Directors has agreed to handle the matter in accordance with the relevant provisions of the Company's "2025 Employee Stock Ownership Plan (Draft)" and "Management Measures for the 2025 Employee Stock Ownership Plan." The relevant matters are hereby announced as follows:
I. Basic情况 of the 2025 Employee Stock Ownership Plan
(I) On May 19, 2025, the Company held the Twentieth Meeting of the Second Board of Directors and deliberated and passed the "Proposal on the Company's '2025 Employee Stock Ownership Plan (Draft)' and its Summary," the "Proposal on Formulating the Company's 'Management Measures for the 2025 Employee Stock Ownership Plan'," and the "Proposal on Authorizing the Board of Directors to Handle Matters Related to the Company's 2025 Employee Stock Ownership Plan." On May 19, 2025, the Company held the Seventeenth Meeting of the Second Supervisory Board and deliberated and passed the "Proposal on the Company's '2025 Employee Stock Ownership Plan (Draft)' and its Summary" and the "Proposal on Formulating the Company's 'Management Measures for the 2025 Employee Stock Ownership Plan'." Jingtian & Gongcheng Law Firm issued the "Legal Opinion on the 2025 Employee Stock Ownership Plan of Shenzhen Boshi Technology Co., Ltd." (II) On June 11, 2025, the Company held the First Extraordinary General Meeting of Shareholders of 2025 and deliberated and passed the "Proposal on the Company's '2025 Employee Stock Ownership Plan (Draft)' and its Summary," the "Proposal on Formulating the Company's 'Management Measures for the 2025 Employee Stock Ownership Plan'," and the "Proposal on Authorizing the Board of Directors to Handle Matters Related to the Company's 2025 Employee Stock Ownership Plan." (III) On June 11, 2025, the Company held the First Meeting of the Third Board of Directors and deliberated and passed the "Proposal on Adjusting the Purchase Price of the 2025 Employee Stock Ownership Plan." It was agreed to adjust the purchase price of the 2025 Employee Stock Ownership Plan from RMB 14.60 per share to RMB 14.00 per share in accordance with the relevant provisions of the Employee Stock Ownership Plan.
