Evaluation Report on the Performance of the Accounting Firm
Shenzhen Boshuo Technology Co., Ltd. (hereinafter referred to as "the Company") appointed Tianjian Accounting Firm (Special General Partnership) (hereinafter referred to as "Tianjian Accounting Firm") as the auditing institution for the Company's 2025 financial report and internal control audit. In accordance with the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Corporate Governance Guidelines for Listed Companies," "Management Measures for the Selection of Accounting Firms by State-owned Enterprises and Listed Companies," "Self-regulatory Guidelines No. 2 for Listed Companies on the Shenzhen Stock Exchange - Standardized Operations of GEM Listed Companies," and "Articles of Association of Shenzhen Boshuo Technology Co., Ltd.," the Company evaluated Tianjian Accounting Firm's performance in the 2025 audit work. The specific situation is as follows:
I. Basic Information of the 2025 Annual Audit Accounting Firm
(1) Basic Information of the Accounting Firm
Tianjian Accounting Firm was established on July 18, 2011, located at 128 Xixi Road, Lingyin Street, Xihu District, Hangzhou, Zhejiang Province. The chief partner is Zhong Jianguo, and it holds a practicing certificate issued by the Ministry of Finance. As of December 31, 2025, Tianjian Accounting Firm has 250 partners and 2,363 certified public accountants, of which 954 have signed audit reports for securities services. In 2024, the firm had a total of 756 listed company audit clients (including A and B shares), with total fees amounting to RMB 735 million. These listed companies are primarily in industries such as manufacturing, information transmission, software and information technology services, wholesale and retail, water conservancy, environmental and public facility management, electricity, heat, gas, and water production and supply, scientific research and technical services, agriculture, forestry, animal husbandry, fishery, culture, sports and entertainment, construction, real estate, leasing and business services, mining, finance, transportation, warehousing and postal services, comprehensive services, health and social work, etc. Among them, there are 578 audit clients in the same industry as the Company.
(2) Procedures for Appointing the Accounting Firm
On April 17, 2025, the Company held the 19th meeting of the second board of directors and on May 14, 2025, held the 2024 annual shareholders' meeting, where the proposal for the reappointment of the accounting firm was reviewed and approved, agreeing to reappoint Tianjian Accounting Firm as the auditing institution for the Company's 2025 financial report and internal control audit. This proposal was reviewed and approved by the 14th meeting of the audit committee of the second board of directors before being submitted to the board for consideration.
