Announcement on Director Resignations and Director Nominations

I. Director Resignations
Qingdao Guanzhong Ecological Co., Ltd. (hereinafter referred to as the "Company") recently received resignation reports from non-independent directors Ms. Xu Jianping, Mr. Zhang Fangjie, and Mr. Pan Wei, employee representative director Mr. Wang Naiqiang, and independent directors Mr. Ju Bo and Mr. Wu Dagang. Due to a change in the Company's control and board restructuring arrangements, non-independent directors Ms. Xu Jianping, Mr. Zhang Fangjie, and Mr. Pan Wei, employee representative director Mr. Wang Naiqiang, and independent directors Mr. Ju Bo and Mr. Wu Dagang have applied to resign from their positions as directors and members (directors) of various special committees of the Fifth Board of Directors. The term of office for the aforementioned individuals was originally scheduled to be from July 11, 2025, to July 10, 2028. Following their resignations, Ms. Xu Jianping, Mr. Zhang Fangjie, Mr. Pan Wei, and Mr. Wang Naiqiang will continue to hold other management positions within the Company, while Mr. Ju Bo and Mr. Wu Dagang will no longer hold any positions in the Company.
In accordance with the "Company Law," the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 2 - Normative Operation of GEM Listed Companies," and the "Articles of Association," etc., the resignations of non-independent directors Ms. Xu Jianping, Mr. Zhang Fangjie, and Mr. Pan Wei, independent directors Mr. Ju Bo and Mr. Wu Dagang, and employee representative director Mr. Wang Naiqiang will not result in the number of directors on the Company's board falling below the legal quorum, nor will it cause the proportion of independent directors on the board to fall below one-third, nor will it lead to a lack of accounting professionals among independent directors. However, it will result in the number of members on the Board's Audit Committee falling below the legally required minimum, and the proportion of independent directors on other special committees may not meet the requirements of laws and regulations. Mr. Wu Dagang's resignation will take effect after the election of a new independent director by the Company's shareholders. Until then, Mr. Wu Dagang will continue to perform his duties. The resignation reports of the other individuals will take effect upon delivery to the Board of Directors. The relevant personnel have completed their work handover in accordance with the Company's regulations, and their resignations will not affect the orderly progress of the Company's daily operations. The Company will complete the election of new directors as soon as possible in accordance with relevant regulations.
As of the disclosure date of this announcement, Mr. Pan Wei, Mr. Wang Naiqiang, Mr. Ju Bo, and Mr. Wu Dagang do not directly or indirectly hold any shares in the Company.
As of the disclosure date of this announcement, Ms. Xu Jianping directly holds 12,299,250 shares of the Company, accounting for 7.48% of the Company's total share capital. Ms. Xu Jianping's spouse is Mr. Li Chunlin, Chairman of the Company. Mr. Li Chunlin and Ms. Xu Jianping jointly control Qingdao Guanzhong Investment Group Co., Ltd., Qingdao Herong Investment Co., Ltd., and Qingdao Bozheng Investment Co., Ltd., and indirectly hold shares in the Company through these shareholders. Mr. Li Chunlin, Ms. Xu Jianping, Qingdao Guanzhong Investment Group Co., Ltd., Qingdao Herong Investment Co., Ltd., and Qingdao Bozheng Investment Co., Ltd. constitute an acting-in-concert group, collectively holding 47,246,067 shares of the Company, accounting for 28.75% of the Company's total share capital. Apart from this, Ms. Xu Jianping has no relationship with other shareholders, directors, or senior management personnel holding more than 5% of the shares; nor are there any outstanding commitments that have not been fulfilled.
