Zhejiang Kangcheng Law Firm (hereinafter referred to as "the Firm") has been retained by Zhejiang Yitian Intelligent Kitchen Appliances Co., Ltd. (hereinafter referred to as "Zhejiang Yitian" or "the Company") to act as legal counsel for Gansu Yisuan Intelligent Technology Co., Ltd. (hereinafter referred to as "Gansu Yisuan"), a wholly-owned subsidiary of Zhejiang Yitian, in its signing of three "Computing Power Service Contracts" with Y Company (hereinafter referred to as "Y Company").
In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Civil Code of the People's Republic of China" (hereinafter referred to as "Civil Code"), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 2 — Norms for the Operation of Listed Companies on the ChiNext Market (2026 Revision)" (hereinafter referred to as "Supervision Guidelines No. 2"), and other relevant laws, administrative regulations, rules, and normative documents, as well as the relevant regulations of the China Securities Regulatory Commission and the Shenzhen Stock Exchange (hereinafter referred to as "SZSE"), and in accordance with the generally accepted business standards, ethical norms, and diligence and conscientiousness of the legal profession, this legal opinion is issued regarding the relevant matters involved in the signing of the "Computing Power Service Contracts" by the Company's wholly-owned subsidiary Gansu Yisuan.
