Zheshang Securities Co., Ltd. (hereinafter referred to as "this Sponsor," "Sponsor," or "Zheshang Securities") has accepted the engagement by Shenzhen Huidachuang Technology Co., Ltd. (hereinafter referred to as "Huidachuang," "Issuer," or "Company") to act as the sponsor for the Issuer's issuance of convertible corporate bonds to non-specific targets.
This Sponsor and the sponsor representatives have acted in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "Securities Law"), the Administrative Measures for the Sponsorship of Securities Issuance and Listing (hereinafter referred to as "Sponsorship Management Measures"), the Administrative Measures for the Registration of Securities Issuance by Listed Companies (hereinafter referred to as "Management Measures"), the "Applicable Opinions on the Provisions of Articles 9, 10, 11, 13, 40, 57, and 60 of the Administrative Measures for the Registration of Securities Issuance by Listed Companies—Securities and Futures Legal Application Opinion No. 18" (hereinafter referred to as "Securities and Futures Legal Application Opinion No. 18"), and other laws, regulations, and relevant provisions of the China Securities Regulatory Commission (hereinafter referred to as "CSRC") and the Shenzhen Stock Exchange (hereinafter referred to as "SZSE").
