(1) Overview of Daily Related Transactions
Zhongjing Food Co., Ltd. (hereinafter referred to as "the Company") and its subsidiaries expect to engage in daily related transactions with related parties totaling no more than 26 million yuan in 2026. The main contents of the related transactions include the sale of seasoning products, procurement of pharmaceuticals, packaging, hygiene products, and receiving services such as catering and property management. In 2025, the actual total of daily related transactions with related parties was 13.0696 million yuan. The Company held the 15th meeting of the 6th Board of Directors on March 30, 2026, where the proposal on the estimated daily related transactions for 2026 was approved, with related directors Mr. Sun Feng, Mr. Li Mingli, and Mr. Liu Hongyu abstaining from voting. This proposal was reviewed and approved at the second special meeting of the independent directors of the 6th Board of Directors prior to submission for board review. According to the "Shenzhen Stock Exchange GEM Listing Rules" and the "Articles of Association," this related transaction does not require submission for shareholder approval as it falls within the board's approval authority.
