Background
CITIC Securities Co., Ltd. (hereinafter referred to as "CITIC Securities") has been entrusted by Wang Zengduo (hereinafter referred to as "Transferor"), a shareholder of Guanglian Aviation Industry Co., Ltd. (hereinafter referred to as "Guanglian Aviation"), to organize and implement the inquiry transfer of shares to specific institutional investors prior to Guanglian Aviation's initial public offering (hereinafter referred to as "this inquiry transfer").
Qualification Verification
According to relevant regulations including the "Interim Measures for the Administration of Share Reduction by Shareholders of Listed Companies," the "Shenzhen Stock Exchange Growth Enterprise Market Listing Rules (2025 Revision)," and the "Self-Regulatory Guidelines No. 18 for Listed Companies on the Shenzhen Stock Exchange - Share Reduction by Shareholders, Directors, and Senior Management (2025 Revision)," CITIC Securities has conducted a qualification verification of the shareholders participating in this inquiry transfer and has issued this verification opinion.
1. Entrustment of Inquiry Transfer
CITIC Securities has received the entrustment from the Transferor regarding this inquiry transfer.
2. Verification of Shareholder Qualifications
(1) Verification Process
In accordance with regulatory requirements, CITIC Securities has verified the qualifications of the Transferor. The Transferor has issued a commitment letter regarding the qualifications for the inquiry transfer of shares issued prior to the initial public offering. CITIC Securities has completed the qualification verification work, conducted interviews and inquiries with the Transferor, and collected relevant verification documents. Additionally, CITIC Securities has verified the qualifications of the Transferor through public information channels.
