Chapter 1 General Provisions

Article 3 The Board Secretary shall be the designated liaison between the Company and the Shenzhen Stock Exchange. The Board Secretary shall comply with the relevant provisions of laws, regulations, normative documents, and the Articles of Association and its attachments, and faithfully and diligently perform their duties.

Chapter 2 Qualifications

Article 4 The Board Secretary shall be a director or senior management member of the Company. The Board Secretary shall possess good personal and professional ethics, be familiar with securities laws and regulations and the business rules of the stock exchange, and have obtained a qualification certificate for Board Secretary or a training certificate for Board Secretary issued by the Shenzhen Stock Exchange, or other proof of qualification, before the Board of Directors deliberates on the proposal for their appointment. When appointing a Board Secretary, the Company shall provide a statement and disclose the following circumstances regarding the candidate: (1) Possess more than five years of work experience in finance, accounting, auditing, legal compliance, finance, or other fields related to the duties of the Board Secretary, or hold a legal professional qualification certificate and have more than five years of work experience, or hold a certified public accountant certificate and have more than five years of work experience; (2) Not be subject to the circumstances stipulated in Article 178 of the "Company Law"; (3) Have not been subject to administrative penalties or three or more administrative supervision measures from the China Securities Regulatory Commission (CSRC) within the last thirty-six months; (4) Have not been publicly censured or received three or more public reprimands from the stock exchange within the last thirty-six months; (5) Have not been subject to market entry bans by the CSRC or the stock exchange prohibiting them from serving as directors or senior management members of listed companies, or the period of such bans has expired, and have not been publicly identified by the stock exchange as unsuitable to serve as directors or senior management members of listed companies, or the period of such identification has expired; (6) Other circumstances stipulated by laws, regulations, and business rules of the stock exchange.
