Beijing Grandway Law Offices (hereinafter referred to as "the Firm") has been entrusted by Hangzhou Shenghao Technology Co., Ltd. (hereinafter referred to as "Shenghao Technology" or "the Company") to act as legal counsel for Shenghao Technology's signing of the "Procurement Contract for Equipment and Supporting Services for the Green Smart Computing Power Industrial Park in Hohhot-Tuohe-Hulinhe Cluster" (hereinafter referred to as the "Smart Operation and Maintenance Project Procurement Contract") with Yuxin Yanchen (Hangzhou) Technology Co., Ltd. (hereinafter referred to as "Yuxin Yanchen").
In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Civil Code of the People's Republic of China" (hereinafter referred to as the "Civil Code"), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 2 - Norms for Operation of Listed Companies on the GEM (2026 Revision)" (hereinafter referred to as the "Supervision Guidelines No. 2"), and other relevant laws, administrative regulations, rules, and normative documents, as well as relevant regulations of the China Securities Regulatory Commission and the Shenzhen Stock Exchange (hereinafter referred to as the "SZSE"), and in accordance with the business standards, ethical norms, and diligence spirit recognized by the legal profession, the Firm hereby issues this Legal Opinion on matters related to the Company's signing of the "Smart Operation and Maintenance Project Procurement Contract."
The Firm's lawyers hereby make the following statements regarding the issuance of this Legal Opinion:

The Firm's lawyers shall only express legal opinions on the basic information of the transaction counterparty involved in the Company's signing of the "Smart Operation and Maintenance Project Procurement Contract," the relevant qualifications of the transaction counterparty, and the legality, authenticity, and effectiveness of the contract signing and contract content. Regarding facts that have already occurred or existed before the date of issuance of this Legal Opinion, and based solely on the laws, administrative regulations, rules, normative documents currently in effect in China, and relevant regulations of the China Securities Regulatory Commission and the SZSE, the Firm shall not express legal opinions based on any foreign laws.

In accordance with the "Company Law," the "Civil Code," the "Measures for the Administration of Legal Practice of Law Firms in Securities Business" and the "Rules for the Practice of Securities Law in Law Firms (Trial)" and other relevant regulations, the Firm and the handling lawyers have strictly performed their statutory duties, adhered to the principles of diligence, conscientiousness, and good faith, conducted thorough investigations and verifications, and ensured that the facts identified in the Legal Opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or significant omissions, and shall bear corresponding legal responsibilities.
