We have audited the attached 2025 Annual Report on the Custody, Management, and Use of Raised Funds prepared by the Board of Directors of Guangzhou Haoyang Electronics Co., Ltd. (hereinafter referred to as "Haoyang Shares").
I. Limitations on Report Users and Usage
This verification report is for the purpose of disclosure in Haoyang Shares' annual report and shall not be used for any other purpose. We agree that this verification report will be an integral part of Haoyang Shares' annual report and will be submitted and disclosed along with other documents.
II. Responsibilities of the Board of Directors
In accordance with the "Supervision Regulations for the Management of Raised Funds by Listed Companies" issued by the China Securities Regulatory Commission, the Shenzhen Stock Exchange's "Shenzhen Stock Exchange GEM Listed Company Self-Regulatory Guidelines No. 2 - Normative Operation of GEM Listed Companies," and the "Shenzhen Stock Exchange GEM Listed Company Self-Regulatory Guidelines No. 2 - Announcement Format," the preparation of the "Special Report on the Annual Custody, Management, and Use of Raised Funds" is the responsibility of Haoyang Shares' Board of Directors. This responsibility includes ensuring the content is true, accurate, and complete, and that there are no false records, misleading statements, or material omissions.
III. Responsibilities of the Certified Public Accountants
Our responsibility is to independently provide a verification conclusion on the aforementioned report prepared by the Board of Directors of Haoyang Shares.
IV. Overview of Work
We have performed the verification engagement in accordance with "Other Assurance Engagements Business Standards No. 3101 - Assurance Engagements Other Than Audits or Reviews of Historical Financial Information" of the Chinese Certified Public Accountants. This standard requires us to plan and perform the assurance engagement to obtain reasonable assurance about whether the information subject to assurance is free from material misstatement. During the engagement, we performed procedures, including the examination of accounting records, that we considered necessary. We believe that our assurance work provides a reasonable basis for our opinion.
