1. Situation Regarding the Resignation of the Chairman
The Board of Directors of Xi'an Pairui Power Semiconductor Technology Co., Ltd. received a written resignation report from Chairman Liu Qiang after the conclusion of the 14th meeting of the third Board of Directors on June 4, 2026. Mr. Liu Qiang resigned due to adjustments in his job position and responsibilities at Shaanxi Science and Technology Holding Group Co., Ltd. To ensure the long-term development of Pairui Co., Ltd. and to reasonably allocate his personal work energy, he applied to resign from the positions of Chairman (legal representative), Director, and member of the Compensation and Assessment Committee and Nomination Committee. Mr. Liu's original term was from the date of his appointment until June 27, 2027. After his resignation, the number of Board members will not fall below the legal minimum. According to the Company Law of the People's Republic of China and the Articles of Association of Xi'an Pairui Power Semiconductor Technology Co., Ltd. (hereinafter referred to as "the Articles of Association"), his written resignation report will take effect upon delivery to the Board of Directors. After his resignation, Mr. Liu will no longer hold any other positions in the Company. As of the date of this announcement, Mr. Liu does not hold any shares in the Company and has no unfulfilled commitments.
