Shenzhen Placo New Materials Co., Ltd. (hereinafter referred to as "the Company") held the 17th meeting of the 4th Board of Directors on June 1, 2026, where it reviewed and approved the proposals regarding the revision of the Articles of Association applicable after the issuance and listing of H shares and the formulation and revision of related internal governance systems. The specific content is as follows:
1. Reasons and Basis for Revising the Articles of Association Applicable After H Share Issuance
The Company intends to issue overseas listed foreign shares (H shares) and list them on the main board of The Stock Exchange of Hong Kong Limited (hereinafter referred to as "this issuance and listing"). In accordance with the Company Law of the People's Republic of China, the Securities Listing Rules of The Stock Exchange of Hong Kong Limited, and other regulations, the Company plans to revise the current Articles of Association and its annexes regarding the rules of procedure for shareholders' meetings and board meetings. This will form the draft Articles of Association applicable after this issuance and listing (hereinafter referred to as "the Draft Articles of Association") and its annexes, including the draft rules of procedure for shareholders' meetings (hereinafter referred to as "the Draft Rules for Shareholders' Meetings") and the draft rules of procedure for board meetings (hereinafter referred to as "the Draft Rules for Board Meetings").
The Draft Articles of Association and its annexes, the Draft Rules for Shareholders' Meetings and the Draft Rules for Board Meetings, approved in this meeting, will be submitted to the shareholders' meeting for review. The shareholders' meeting will authorize the Board of Directors and its authorized personnel to adjust and modify the approved documents as necessary for the purpose of this issuance and listing, in accordance with changes in domestic and foreign laws, regulations, and normative documents, as well as the requirements and suggestions of domestic and foreign government agencies, regulatory bodies, and stock exchanges, and based on the actual circumstances of this issuance and listing.
