Chapter 1 General Principles
Article 1
To regulate the resignation of directors and senior management at Shenzhen Boke New Materials Co., Ltd. (hereinafter referred to as "the Company"), ensure the stability of corporate governance, and protect the rights of the Company and its shareholders, this system is formulated in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Guidelines for Articles of Association of Listed Companies, the Listing Rules of the Shenzhen Stock Exchange, and the Securities Listing Rules of The Stock Exchange of Hong Kong Limited (hereinafter referred to as "the Hong Kong Listing Rules"), as well as other relevant laws, regulations, normative documents, and the Company's Articles of Association.
Article 2
This system applies to the resignation of the Company's directors (including independent directors) and senior management due to the expiration of their term without re-election, resignation, dismissal, or other reasons.
Chapter 2 Resignation Circumstances
Article 3
The resignation of directors and senior management includes circumstances such as expiration of term without re-election, voluntary resignation, dismissal, and other reasons leading to resignation.
