Review Opinion of the Nomination Committee on the Qualifications of Candidates for the Supplementary Election of the Fourth Board of Directors
Ms. Li Yin, the independent director of Shenzhen Boke New Materials Co., Ltd. (hereinafter referred to as "the Company"), resigned from her position for personal reasons. The Company plans to issue overseas listed foreign shares (H shares) and list them on the main board of the Hong Kong Stock Exchange (hereinafter referred to as "this issuance and listing"). To further improve the corporate governance structure after this issuance and listing, the Company's board of directors intends to nominate Mr. Li Zhishen as a candidate for independent director of the fourth board of directors (the meaning is consistent with "independent non-executive director" in the "Hong Kong Listing Rules").
