I. Transaction Overview
Zhengzhou Tianmai Technology Co., Ltd. (hereinafter referred to as the "Company") held the seventh meeting of the Fifth Board of Directors on July 10, 2026, and the third extraordinary general meeting of shareholders in 2026 on July 27, 2026. The proposal "Regarding the Transfer of 90% Equity of Henan Xinmai Vehicle Inspection Co., Ltd. and Related Party Transaction" was deliberated and approved. The Company agreed to transfer the 90% equity of its wholly-owned subsidiary, Henan Xinmai Vehicle Inspection Co., Ltd. (hereinafter referred to as the "Target Company"), which the Company holds (hereinafter referred to as the "Target Equity"), to Henan Zhiluo Enterprise Management Partnership (Limited Partnership) (hereinafter referred to as "Henan Zhiluo" or the "Transferee").
