I. Overview of Guarantees
Yunda Energy Technology Group Co., Ltd. (hereinafter referred to as the "Company") held the fifth meeting of the sixth Board of Directors on July 6, 2026, and approved the "Proposal on Providing Guarantees for Investee Company's Subsidiaries." Fengning Yida New Energy Development Co., Ltd. (hereinafter referred to as "Yida New Energy") and Fengning Qida New Energy Development Co., Ltd. (hereinafter referred to as "Qida New Energy") are investee companies of the Company, in which the Company holds 45% and 40% equity respectively.
The joint venture company of Yida New Energy and Qida New Energy, Fengning Runda New Energy Development Co., Ltd. (hereinafter referred to as "Runda New Energy"), and the wholly-owned subsidiary of Qida New Energy, Fengning Qirun New Energy Development Co., Ltd. (hereinafter referred to as "Qirun New Energy"), are the construction entities for the Fengning Runda Photovoltaic Energy Storage and Hydrogen Integration 200,000 kW Photovoltaic Demonstration Project (hereinafter referred to as the "Runda Project") and the Fengning Qirun 100,000 kW Photovoltaic Power Generation Project (hereinafter referred to as the "Qirun Project"), respectively. The total project financing for the Runda Project and Qirun Project is 851 million yuan and 380 million yuan, respectively. The Company intends to provide guarantees for the actual project financing and related expenses of the Runda Project and Qirun Project by pledging its 45% equity in Yida New Energy and 40% equity in Qida New Energy, respectively, in proportion to its shareholding. The scope of guarantee liability is limited to the equity value.
The above guarantee matters are subject to approval by the Company's shareholders' meeting.
