Guangdong Southern New Media Co., Ltd. (hereinafter referred to as "the Company" or "Southern New Media") held the 29th meeting of the third board of directors on April 9, 2026, to review and approve the proposal regarding the daily related transactions for 2025 and the estimated daily related transactions for 2026. The specific situation is announced as follows:
1. Basic Situation of Daily Related Transactions
(1) Overview of Daily Related Transactions for 2026
To meet the needs of the Company's normal production and operation, and in line with the Company's business development plan, the total amount of daily related transactions between the Company and its controlling subsidiaries with related parties for 2026 is estimated to not exceed 391.1 million yuan (excluding tax). This mainly includes services provided by related parties, leasing office space from related parties, selling goods to related parties, and providing services, among others.
On April 9, 2026, the Company held the 29th meeting of the third board of directors, which approved the proposal with 4 votes in favor, 0 votes against, and 0 abstentions. Related directors Mr. Cai Fuqing, Mr. Yang Dejian, and Mr. Liao Ye abstained from voting. This proposal has been reviewed and approved by the independent directors at a special meeting before being submitted to the board of directors for review. The proposal still needs to be submitted to the shareholders' meeting for approval, with related shareholders abstaining from voting.
