I. Overview of External Guarantees
The Company held the 25th meeting of the 4th Board of Directors on April 27, 2026, and the 2025 Annual General Meeting on May 19, 2026, where it approved the proposals regarding the application for a comprehensive credit limit from financial institutions and the estimated external guarantee limit. The Company and its consolidated subsidiaries (including wholly-owned subsidiaries and holding subsidiaries established or included in the consolidation scope within the authorized period) plan to apply for a comprehensive credit limit from banks, financing leasing companies, and other financial institutions, with a total limit not exceeding RMB 1,800 million (excluding low-risk business limits). The final limit will be subject to the actual approval by the financial institutions. The types of credit include but are not limited to domestic and foreign currency loans, bank acceptance bills, letters of credit, and guarantees. The actual credit limits from various financial institutions can be adjusted within the total limit. The Company intends to provide guarantees for its consolidated subsidiaries when applying for comprehensive credit limits from business-related parties (including but not limited to banks, financing leasing companies, and other business partners) and for daily operational needs (including but not limited to performance obligation guarantees), with an estimated total guarantee limit not exceeding RMB 850 million (excluding low-risk business limits). The scope of guarantees is for the Company to provide guarantees for its subsidiaries.
