Independent Director's 2025 Annual Work Report (Yan Houmin)
As an independent director of Robotech Intelligent Technology Co., Ltd. (hereinafter referred to as "the Company"), during my tenure in 2025, I regularly monitored the Company's financial and operational status in accordance with the Company Law, Securities Law, Management Measures for Independent Directors of Listed Companies, SZSE Self-Regulatory Guidelines No. 2 for the Standard Operation of GEM Listed Companies, the Company’s Articles of Association, the Independent Director Work System, and the Special Meeting Work System for Independent Directors. I faithfully fulfilled my responsibilities as an independent director, actively attended relevant meetings, carefully reviewed proposals and related materials, expressed opinions on matters discussed by the board, and made efforts to protect the legitimate rights and interests of the Company and all shareholders, especially minority shareholders. Below is my report on the performance of my duties as an independent director in 2025:
1. Basic Information
I, Yan Houmin, male, born in May 1954, am a permanent resident of Hong Kong with a doctoral degree. I served as the Dean of the Business School at City University of Hong Kong from January 2013 to June 2020. Prior to that, I was a professor at The Chinese University of Hong Kong for many years, where I held senior management positions, including Director of the Master of Science in Logistics and Supply Chain Management program and Director of the Logistics Technology and Supply Chain Optimization Center at Li & Fung Research Centre. I have also served as Deputy Director and Scientific Advisor at the Hong Kong Government Logistics and Supply Chain Technology R&D Centre, and taught at the University of Texas at Dallas, holding a tenured position. My research focuses on supply chain management, risk theory, contract theory, and behavioral models, with several papers published in top international academic journals, receiving best paper awards from the Production and Operations Management Society and the Institute of Industrial Engineers in 2004, 2005, and 2012. I have also been an advisor to several large international and local enterprises. I hold a Bachelor's degree in Electronics and a Master's degree in Electronics from Tsinghua University, and a Ph.D. from the University of Toronto. In May 2017, I joined China Everbright Green Environmental Limited as an independent non-executive director, serving as the chairman of the remuneration committee and a member of the nomination committee, audit and risk management committee, and sustainability committee. I have been serving as an independent director of the Company since September 2025. During the reporting period, my position met the independence requirements stipulated in Article 6 of the Management Measures for Independent Directors of Listed Companies, and there were no circumstances affecting my independence.
2. Performance in 2025
- Attendance at Board Meetings In 2025, the Company held 12 board meetings. Since my election as an independent director on September 15, 2025, the Company has held 4 board meetings. I was required to attend 4 meetings and actually attended 3, with one absence due to personal reasons, for which I submitted a written leave request in advance. I did not miss two consecutive meetings. I carefully reviewed all proposals at the board meetings, actively participated in discussions, and provided reasonable suggestions and opinions, fulfilling my duties as an independent director diligently. The attendance record for board meetings in 2025 is as follows:

Since my election as an independent director on September 15, 2025, the Company has held 1 extraordinary shareholder meeting, which I attended in person, with no instances of missing more than two consecutive meetings.
